Terms and Conditions

Last updated: 23 September 2026

1. These terms

These Terms and Conditions ("Terms") are a legal agreement between you and Finteka, LLC, a limited liability company formed in the State of Delaware, United States, whose postal address is 1111B S Governors Ave, STE 39180, Dover, DE 19904, United States ("Cactus Class", "we", "us", "our").

They govern your use of https://cactusclass.com and everything we provide through it (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy at https://cactusclass.com/privacy forms part of these Terms.

2. Who may use the Service

You may open an account only if you are at least 18 years old and able to enter into a binding contract.

A person aged 13 to 17 may use the Service only through an account opened and supervised by a parent or legal guardian, who accepts these Terms on their behalf and is responsible for everything done through that account. The Service is not for anyone under 13.

If you accept these Terms for an organisation, you confirm that you are authorised to bind it, and "you" means that organisation.

You may not use the Service if you are subject to sanctions administered by the United States, the United Kingdom, or the European Union, or if you are located in a country subject to a comprehensive embargo under those regimes.

3. Accounts and signing in

Passwordless sign-in. The Service has no passwords. To sign in, you enter your email address and we send a six-digit code to it. Entering that code signs you in.

Your responsibility. Whoever controls your email inbox can access your account. You must keep your email account secure, keep your codes to yourself, and tell us at support@cactusclass.com immediately if you believe someone else has used your account.

Accuracy. Give us a real email address you control and a real name. You may update your name in your profile. Your email address cannot be changed. To use a different address, delete your account and register again.

One person per account. Accounts are personal. Do not share one, and do not let anyone else sign in as you.

4. Roles, members and invitations

The Service has two user roles.

A Host arranges meetings, uploads materials and videos, records meetings, and invites Participants.

A Participant joins meetings arranged by a Host, and exchanges messages and files with them.

A Host may generate an invitation code, valid for 24 hours, and share it. Using a code links your account to that Host and lets each of you see the other's name, photo and online status, and start a conversation. Either of you may remove the link at any time, which also removes you from the other's list.

5. What the Service does

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own teaching, interviewing or collaboration, whether personal or business.

The Service currently offers scheduling and a calendar, live meetings with audio and video, a shared whiteboard, shared documents, file sharing, meeting recording, a library that keeps a meeting's notes, files and recordings together, direct messages, a host video library, and support messaging.

We may change, add to or withdraw features. If we withdraw something you rely on, we will give you reasonable notice where we can.

6. Payments between users

We do not process payments. We take no card details, we hold no money, and we transfer no funds.

Where a Host records a price, a currency and a "paid" or "unpaid" status against a meeting, those fields are a private note for their own bookkeeping. They create no obligation on us, we do not verify them, and we are not a party to any payment.

Any fee arrangement between a Host and a Participant is strictly between them. Each of them alone is responsible for agreeing it, collecting it, refunding it, invoicing it, and accounting for any tax, including value added tax and sales tax. We are not an agent, escrow, marketplace or payment service for either of them.

The Service is currently provided free of charge. If we introduce paid plans, we will publish the price and the terms, and no charge will apply to you without your express agreement.

7. Your content

You keep ownership. You keep all rights in the text, files, images, videos, recordings, whiteboards, documents and messages you create or upload ("Your Content"). These Terms transfer no ownership to us.

The licence you give us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, reformat and display Your Content, but strictly and only so far as is necessary to operate the Service for you and for the people you share it with, to back it up, and to comply with the law. The licence ends when you delete the content, subject to a reasonable delay for backups to cycle.

We will not sell Your Content, use it for advertising, disclose it except as the Privacy Policy allows, or use it to train artificial intelligence or machine learning models.

You are responsible for it. By uploading Your Content you confirm that you own it or have the rights you need, and that it does not break the law or these Terms.

Back it up. We are not a backup service. Keep your own copy of anything you cannot lose.

8. Recording meetings

Only a Host can start a recording, and while one is running the Service displays a clear, continuous on-screen notice to everyone in the room.

If you record, it is your responsibility to obtain whatever consent the law requires from every participant, before you start; to comply with data protection law in respect of the recording, including the UK GDPR and EU GDPR where they apply; to tell participants what you will do with it and for how long you will keep it; and to store and use it lawfully afterwards.

Recording laws differ. In several United States states, and in a number of other countries, recording a conversation without the consent of every party to it is a criminal offence. We provide the tool; we do not obtain consent for you and we take no responsibility for how you use a recording.

If you do not consent to being recorded, leave the meeting or turn off your camera and microphone.

9. Acceptable use

You must not use the Service to:

  • break any law, regulation or sanctions regime that applies to you;
  • upload, transmit or share anything unlawful, defamatory, harassing, abusive, hateful, threatening, obscene, sexually explicit, or that depicts or promotes the exploitation of children;
  • infringe anyone's copyright, trade mark, trade secret, privacy, publicity or other right;
  • upload malware, or anything designed to damage, disable or gain unauthorised access to any system;
  • attempt to access an account, meeting, file or dataset you are not entitled to access;
  • probe, scan or test the security of the Service, or circumvent any limit, quota or authentication measure, other than under a written agreement with us;
  • automate account creation, request sign-in codes for addresses that are not yours, or send codes to anyone who has not asked for them;
  • use the Service to send unsolicited bulk messages of any kind;
  • scrape, crawl, mine or systematically extract data from the Service;
  • resell, sublicense or provide the Service to a third party as your own;
  • copy, decompile, reverse engineer or attempt to derive the source code of the Service, except so far as that restriction is prohibited by law;
  • impersonate anyone, or misrepresent your connection with any person or organisation;
  • overload our infrastructure or interfere with anyone else's use of the Service.

10. Storage limits and fair use

Storage is subject to a quota, which we may set and change. If you exceed it, we may prevent further uploads until you free space. We may set reasonable limits on file sizes, recording lengths, message rates and the number of requests you make, and we may enforce them automatically.

11. Our intellectual property

The Service, its software, design, text, graphics, logos and the name Cactus Class belong to us or to our licensors, and are protected by copyright, trade mark and other laws. Except for the licence in section 5, these Terms grant you no right in them. You may not use our name or logo without our written permission.

If you send us feedback or a suggestion, we may use it freely, without obligation or payment to you.

12. Third-party services

The Service depends on third parties, including Amazon Web Services for storage, content delivery and email, and a public STUN server operated by Google to establish live connections. Their acts and omissions are outside our control, and interruptions caused by them are not our responsibility, although we will make reasonable efforts to restore service.

Google reCAPTCHA. Creating an account, and asking us to resend the sign-up code, is protected by Google reCAPTCHA to tell humans from automated abuse. By using those parts of the Service you agree that Google may collect and process the information described in Google's Privacy Policy, and that Google's Terms of Service apply to that use. We may refuse to create an account or to send a code if the check does not pass. See section 7.2 and section 8 of our Privacy Policy.

13. Availability

We try to keep the Service available, but we provide no uptime guarantee and no service level agreement. We may suspend it for maintenance, upgrades, security or matters beyond our control, and we will give notice of planned downtime where we reasonably can.

14. Suspension and termination

By you. You may stop using the Service at any time and delete your account from your profile page. When you do, your email address is released so you can register again with it later, your profile stops being visible as an active member, and you can no longer send messages. Existing conversations remain visible to the people you had them with, as history. Files and recordings you shared may remain available to the meetings and people you shared them with, unless you delete them first.

By us. We may suspend or terminate your access, with notice where it is reasonable to give it and immediately where it is not, if you break these Terms, if we must do so by law, if your use threatens the security, integrity or availability of the Service or another user, or if we reasonably suspect fraud or abuse. Where the reason is capable of being fixed, we will normally tell you and give you a chance to fix it.

Effect. On termination, your licence to use the Service ends. Sections 7, 11, 15, 16, 17, 18 and 19 survive.

15. Disclaimers

To the fullest extent the law allows, the Service is provided "as is" and "as available", and we exclude all warranties, conditions and representations that are not expressly set out in these Terms, whether implied by statute, common law or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure or error-free; that defects will be corrected; that any content, file or recording will be preserved, available or free from loss; or that the Service will meet your requirements.

We are not responsible for the conduct of any user, for the quality, accuracy or legality of anything a Host teaches or a user uploads, for any arrangement or payment between users, or for any dispute between them.

Nothing in these Terms limits or excludes anything that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and, where you are a consumer, your rights under the Consumer Rights Act 2015 or equivalent consumer protection law in your country.

16. Limitation of liability

To the fullest extent the law allows:

  • we are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, business, goodwill, opportunity, anticipated saving, or loss or corruption of data, however caused and whether or not we were advised such loss was possible;
  • our total aggregate liability arising out of or connected with the Service and these Terms, whether in contract, tort including negligence, breach of statutory duty or otherwise, is limited, in any 12-month period, to the greater of the amount you paid us for the Service in that period and one hundred United States dollars (USD 100).

You acknowledge that the Service is provided free of charge and that these limits are a reasonable allocation of risk, without which we would not provide it.

If you are a consumer, this section applies only so far as the law permits, and your statutory rights are unaffected. Some jurisdictions do not allow the exclusion of certain warranties or liabilities, in which case the exclusions above apply only to the extent permitted where you live.

17. Indemnity

If you use the Service for business purposes, you agree to indemnify us and our members, managers, officers and agents against any claim, liability, loss, damage, cost or expense, including reasonable legal fees, arising out of your use of the Service, Your Content, your breach of these Terms, your breach of any law, or your infringement of anyone's rights, including any claim arising from a recording you made.

This section does not apply to consumers.

18. Complaints about content, and copyright

If you believe content on the Service infringes your rights or breaks these Terms, write to support@cactusclass.com with a description of the content, where it is, why you object, and how we can contact you. We will review it and, where appropriate, remove the content or suspend the account responsible.

Copyright notices under the Digital Millennium Copyright Act. If you are a copyright owner or their agent and you believe material on the Service infringes your copyright, send a notice to our designated agent at support@cactusclass.com, containing: your physical or electronic signature; identification of the copyrighted work; identification of the material claimed to infringe and enough detail to let us locate it; your contact details; a statement that you believe in good faith that the use is not authorised by the owner, their agent, or the law; and a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorised to act for the owner. We will respond in accordance with 17 U.S.C. § 512, including by accepting counter-notices, and we will terminate the accounts of repeat infringers.

19. Governing law and disputes

Governing law. These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Consumers. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory rules of the law of the country where you habitually live. If you live in the United Kingdom or in a member state of the European Economic Area, you may bring proceedings in the courts of that country, and we will bring any proceedings against you there.

Everyone else. Subject to the paragraph above, the state and federal courts located in the State of Delaware have exclusive jurisdiction, and you and we consent to their jurisdiction and waive any objection to their venue.

Before you sue. Please write to support@cactusclass.com first. Most problems can be settled quickly and informally.

Online dispute resolution. Consumers in the European Economic Area may in some circumstances use the European Commission's online dispute resolution platform. We are not obliged to, and do not undertake to, use an alternative dispute resolution body.

20. General

Whole agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service, and replace anything said or written before.

Changes. We may change these Terms. The date at the top shows when they last changed. If a change is material we will give reasonable notice in the Service before it takes effect. If you do not accept a change, stop using the Service and delete your account. Continuing to use it after the change takes effect means you accept it.

No waiver. If we do not enforce a right, we do not waive it.

Severability. If a court finds any provision unenforceable, the rest stays in force, and that provision is applied so far as it lawfully can be.

Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.

Third parties. No one other than you and us has any right to enforce these Terms. The Contracts (Rights of Third Parties) Act 1999 does not apply.

Force majeure. Neither of us is liable for a failure caused by something beyond our reasonable control.

Notices. We give notice by posting in the Service. The only email we send is the six-digit sign-in code you request. You give notice to support@cactusclass.com.

Language. These Terms are written in English. Any translation is for convenience, and the English version governs.
